1. Introduction.  The GameChanger Leaderboard program (“Program”) is a U.S.-based loyalty program offered at the sole discretion of GameChanger Media LLC (“GameChanger”). GameChanger has the right to modify, add or delete all or any portion of the Program rules, terms, conditions, benefits or rewards, at any time, with or without notice, even though such changes may affect the value of points already accumulated, the value of the rewards and/or the time for redemption.

2. Conditions of Participation. By participating in the Program, you agree to be bound by the terms of these GameChanger Leaderboard Terms and Conditions (these “Terms and Conditions”), GameChanger’s Privacy Policy and Terms of Use, which can be viewed at  https://gc.com/privacy and  https://gc.com/terms, respectively, and by the decisions of GameChanger, which are final and binding on all matters pertaining to this Program. Participants may be required to sign and return an Affidavit of Eligibility/Liability & Publicity Release and a Confidentiality Agreement as a condition to receive a Reward. Failure to comply may result in the forfeiture of the Reward.

3. Membership & Eligibility.  Registered users of GameChanger with an active GameChanger account are eligible to participate in the Program if they meet the following eligibility criteria (“Participant”):

Earning Points.  You may earn points (“Points”) that can be applied towards a reward (“Reward”) by acquiring new fans to Participant’s GameChanger account between June 1, 2024, and June 30, 2024 (“Program Period”). Participants will receive one (1) Point for each new fan added during the Program Period. Individuals that become fans of Participant’s account during the Program Period but were previously fans of Participant’s account during the Program Period or up to one (1) months prior will not be deemed a new fans not Points will be awarded for such fans. The use of bot, false, fictitious, or duplicate accounts are strictly prohibited and will result in disqualification. Participant understands and agrees that it is strictly prohibited for Participant to provide any form of consideration to fans in connection with or related to the Program.

5. Earning and Redeeming Rewards. Participants will be eligible to receive Rewards after reaching each Point threshold identified below ("Point Threshold"):

Program Termination.  The Program will expire at the end of the Program Period, provided that GameChanger reserves the right to modify or end the Program, or any part of the Program, at any time without providing written notice to Participant if the Program or any portion thereof is not capable of running as planned for any reason, including without limitation, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, act of God, or any other causes which corrupt or otherwise affect the administration, security, fairness, integrity, or proper conduct of the Program. GameChanger reserves the right at its sole discretion to cancel, terminate, modify or suspend the Program or any portion thereof at any time, and for any reason without further obligation or advance notice.

7. Disqualification from the Program. Abuse of the Program (for example, by creating false or duplicate accounts, or other improper conduct as determined in GameChanger’s sole discretion) or providing any false information within the context of the Program concerning the identity, postal address, telephone number, ownership of right or noncompliance with these Terms and Conditions or the like, may result in the immediate disqualification of the Participant from the Program.  Without limiting the foregoing, Participants may be disqualified from the Program if, in GameChanger’s sole discretion, GameChanger reasonably believes that the Participant has attempted to undermine the legitimate operation of this Program by cheating, deception, or other unfair playing practices, or annoys, abuses, threatens or harasses any other Participants, GameChanger users, fans, Released Parties, or associated agencies or entities. If a Participant is found ineligible, does not comply with these Terms and Conditions, or is disqualified from the Program, then that Participant will forfeit all Points and Rewards.

8. Release and Waiver. By participating in the Program, Participant agree to release GameChanger, participating vendors (if any), and each of their respective parent companies, subsidiaries, affiliates, related companies and advertising, promotion and public relations agencies, and each of their respective officers, directors, employees and agents (collectively, “Released Parties”) from any and all liability, loss or damage of any kind arising out of or in connection with Participant’s participation in the Program or with respect to awarding, receipt, possession, use and/or misuse of any Reward. Additionally, Participant hereby waive all rights to: (a) claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of-pocket costs; and (b) have damages multiplied or otherwise increased. By redeeming a Reward, Participant grants GameChanger the perpetual right to use Participant’s name, biographical information, photos and/or likeness, team indicia, and statements for trade, commercial, advertising, and publicity purposes in all media now known or hereafter discovered, without notice, review or approval and without additional compensation from Participant.

9. Disputes.  All interpretations of these Terms and Conditions will be at GameChanger’s sole discretion and such interpretations are binding on Participants. Except where prohibited, Participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Program will be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Commonwealth of Pennsylvania. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions, Participant’s rights and obligations, or the rights and obligations of GameChanger in connection with the Program, will be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law or conflict of law or conflict of law rules (whether of the Commonwealth of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any other jurisdiction.

10. Additional Terms.  Participants are responsible for notifying GameChanger of any changes to their information, including mailing address and e-mail address. If any provision(s) of these Terms and Conditions are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. GameChanger’s failure to enforce any provision of these Terms and Conditions will not constitute a waiver of that provision. If in any particular state the Program is subject to any special license, bonding, permit or other governmental regulatory approval, the Program will be void in that particular state.  The Program is void where prohibited by law.
